Lear Announces Executive Appointments

SOUTHFIELD, MI — Lear Corp. has announced the appointments of Terrence Larkin to senior vice president, general counsel and corporate secretary and Wendy Foss to vice president, corporate controller and chief compliance officer.

Larkin will assume responsibility for Lear’s legal and regulatory matters globally, effective Jan. 1, 2008. He will report to Daniel Ninivaggi, executive vice president and chief administrative officer.

Larkin joins Lear from Bodman LLP, where he served as a partner since 1986 and chairman of the firm’s Business Law Practice Group. During his tenure with Bodman, he focused on general corporate and transactional matters, with a particular expertise in supporting clients in the automotive industry. He is a board member of the Detroit Regional Chamber of Commerce, an advisory board member of the Detroit Regional Economic Partnership, a fellow of the Michigan State Bar Association and general counsel for the Better Business Bureau for Detroit /Eastern Michigan region.

"He brings a wealth of legal expertise, particularly in the areas of corporate and transactional matters, and coupled with the solid automotive perspective he brings to this position, will be a welcome addition to our senior management team."

In her new role, Foss will assume the responsibilities of the corporate controller function in addition to her existing positions as vice president and chief compliance officer. Her appointment as controller is effective immediately and she will report to senior vice president and chief financial officer Matt Simoncini for finance matters.

Wendy Foss has been elected to the position of corporate secretary in addition to her responsibilities as vice president – finance and administration, and Liam Hart has been promoted to deputy general counsel, effective immediately. Both Foss and Hart will report to Daniel Ninivaggi, executive vice president and general counsel.

"Wendy and Liam are experienced professionals who have excellent track records in areas of increasing responsibility," said Ninivaggi. "Wendy’s experience as deputy corporate secretary, chairperson of our Corporate Compliance Committee, assistant controller and a variety of other Finance and Administration positions make her the perfect candidate for this expanded role."

"As deputy general counsel, Liam will assume greater management responsibility of legal matters in addition to overseeing our outside counsel relationships in North America," said Ninivaggi. "In addition, he will continue to be directly involved in significant commercial, product liability and warranty matters. We are fortunate to have individuals of their caliber on our Lear team."

Foss earned a bachelor of science in business administration from Central Michigan University and a master of science degree in finance from Walsh College. A Certified Public Accountant, Foss sits on the Finance Committees for the Visiting Nurse Association, Inc. and Inforum (formerly known as the Women’s Economic Club).

Hart earned his bachelor of arts in economics and business administration from Kalamazoo College and his juris doctorate summa cum laude from the University of Detroit School of Law, where he was a senior editor for the Law Review.

Jim Brackenbury, has been named president – Mexican Operations, succeeding Dino de Falco who is retiring. Frank Orsini succeeds Brackenbury as president of the DaimlerChrysler Division and Dan Golles replaces Orsini as vice president – GM Truck Group. Brackenbury, Orsini and Americo Nesti, president – South American Operations whose position remains unchanged, report directly to Douglas DelGrosso, president and COO – Americas. Golles will report to Frank Sovis, president of Lear’s GM Division.

In his new role, Brackenbury is responsible for all aspects of Lear’s business in Mexico and Central America and is based in El Paso, Texas. During his 21-year career with Lear, Brackenbury has held positions of increasing responsibility and was vice president of Lear’s Interior Products Division in Europe immediately prior to assuming the leadership role at the DaimlerChrysler Division last February.

Prior to his current assignment, Orsini was responsible for sales and program management related to Lear’s GM truck programs. Before joining Lear’s GM Division, Orsini spent five years in various leadership positions in Europe, including the role of president at the Fiat Customer Focus Division. He is a ten-year veteran of Lear.

Golles will relocate to metro Detroit from Europe, where he spent the last three years as vice president – European Product Engineering for Lear’s Interior Products Division. He has also served as vice president of SSD Applications Engineering and was a Six Sigma champion for Lear’s DaimlerChrysler division. Golles is an eight-year veteran of Lear.
