Delphi Automotive in Negotiations to Acquire Motorized Vehicles Division of FCI

The $972 million acquisition will enhance Delphi's position as a leading supplier of automotive electrical/electronic architecture, and expands Delphi's global footprint, especially in Asia.

GILLINGHAM, England & TROY, Mich. – Delphi Automotive has entered into exclusive negotiations and has made a binding offer to acquire FCI Group’s Motorized Vehicles Division (MVL). MVL is a leading global manufacturer of automotive connection systems with a focus on high-value, leading technology applications. Currently owned by affiliates of Bain Capital, MVL had revenue of EUR692 million in the year ended Dec. 31, 2011.
 
The transaction is valued at EUR765 million on a cash and debt-free basis (approximately $972 million USD) and is expected to close by the end of 2012, subject to acceptance of the offer and regulatory approvals. Delphi expects the transaction to be 24 cents accretive to 2013 earnings per share, excluding acquisition-related costs.
 
Once the acquisition is complete, MVL will become part of Delphi’s Electrical/Electronic Architecture segment ("E/EA"), which is a leading global provider of high-performance interconnection systems for a wide range of applications. These include connectors for the high-growth safety restraint systems ("SRS") market, powertrain and electrical vehicles.
