Edelbrock Moves Forward with Plan to Go Private

Edelbrock Corp. will hold a special stockholder meeting on Dec. 22 to consider a proposal to approve and adopt a plan previously announced on June 25 that would make Edelbrock a privately held company. If approved, stockholders of Edelbrock Corp. will receive $16.75 per share in cash in exchange for each share of Edelbrock common stock.

TORRANCE, CA — Edelbrock Corp. will hold a special stockholder meeting on Dec. 22 to consider a proposal to approve and adopt a plan previously announced on June 25 that would make Edelbrock a privately held company.

If approved, stockholders of Edelbrock Corp. will receive $16.75 per share in cash in exchange for each share of Edelbrock common stock.

The meeting will be held on December 22, 2004 at 9:30 a.m. PST, at Edelbrock’s facility located in Torrance, Calif. Edelbrock has fixed the close of business on November 29, 2004 as the record date for determining those stockholders entitled to vote at the special meeting and any adjournment or postponement of the special meeting.
