BLUFFDALE, Utah Following the resignation of CEO and Director Bryan Hunsaker and Director Robert McMichael in early June, Aero Performance Products has reported that its proposed acquisition of Jones Exhaust Systems may not move forward as previously planned.
Robert McCoy, who is now the sole director of the company, said there is a question as to whether the deal is still in the best interest of the company and its shareholders.
McCoy was appointed to the position of director of the company effective June 5, the same day that Hunsaker and McMichael resigned. Hunsaker will consult for the company in the interim.
"I would first like to thank Hunsaker for his service to the company," said McCoy. "His insight into the company's current status and its recent focus on strategic acquisitions will be important information to consider as management evaluates the best way forward for Aero Performance Products.
"There are a number of issues related to the company that I plan to address in the near term. The first is the status of the planned acquisition of Jones Exhaust Systems Inc., including whether the acquisition is still achievable as well as whether it is in the best interests of the company and its shareholders. If this acquisition is not to be consummated, management will also make a determination as to whether a different strategic acquisition is the best way to build value for shareholders or if another strategy should be implemented.
"As these determinations are made, I will also be exploring the possibility of bringing on additional members of the management team to guide the company during its transition, including the potential of adding new directors and officers.
"Throughout this process, I will attempt to keep shareholders informed as frequently as possible. I hope that shareholders will maintain communication with the company through its established channels, and we look forward to providing information on a regular basis."
